These Terms govern the access and use of PxProfiler, the clinician portal, patient iOS app, related websites, software, reports, features, and services. Whether by clinicians, authorized clinic personnel, patients, or other authorized users.
By accessing or using PxProfiler, including the PxProfiler clinician portal, patient iOS app, related websites, software, reports, features, and services, you agree to be bound by these Terms of Service.
If you do not agree to these Terms, you are not authorized to access or use PxProfiler.
These Terms apply to clinicians, authorized clinic personnel, patients using the analyzer app, and any other authorized users of PxProfiler.
PxProfiler is a Canadian digital health platform designed to help clinicians assess patient activity, movement, cardio, and endurance trends.
Patients use the PxProfiler iOS analyzer app to generate summary trend reports from Apple HealthKit data processed locally on the patient’s iPhone. Only finished summary reports are uploaded to PxProfiler’s secure backend and made available through the clinician portal.
PxProfiler does not upload or store raw Apple HealthKit records, including raw heart rate readings, step logs, workout routes, GPS/location history, or raw workout records.
PxProfiler is a clinical support and activity-trend assessment tool.
PxProfiler does not independently diagnose, treat, cure, mitigate, or prevent any disease, condition, injury, or medical issue. PxProfiler does not replace professional medical judgment, clinical assessment, diagnosis, treatment planning, or patient monitoring.
Clinicians remain solely responsible for interpreting PxProfiler outputs and for all clinical decisions, patient care, documentation, diagnosis, treatment, and follow-up.
Patients should not rely on PxProfiler as a substitute for advice from a qualified healthcare professional. In a medical emergency, patients should contact emergency services immediately.

The PxProfiler patient analyzer app is intended to allow patients to generate summary trend reports for review by their assigned clinician.

You may use PxProfiler only if you are authorized to do so.
Clinician portal access is limited to clinicians and authorized clinic personnel approved by PxProfiler, a clinic, or another authorized administrator.
You must not access, attempt to access, or use any account, patient record, report, or system area that you are not authorized to access.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree to notify PxProfiler promptly if you become aware of any unauthorized access, suspected compromise, or security incident involving your account.
PxProfiler may suspend or restrict access where it reasonably believes there is a security risk, unauthorized use, or breach of these Terms.
You agree to use PxProfiler only for its intended purpose and in accordance with these Terms.

Unauthorized use of PxProfiler or its systems is prohibited.
PxProfiler’s iOS analyzer app accesses Apple HealthKit data only on the patient’s device for the purpose of generating summary trend reports.
Raw Apple HealthKit data is processed locally and is not uploaded to PxProfiler’s backend.
Summary reports may include activity scores, weekly averages, percentage changes, directional trends, and other summary metrics across movement, cardio, and endurance categories.
PxProfiler does not use Apple HealthKit data for advertising, sale to advertisers, or unrelated commercial profiling.
PxProfiler outputs depend on data available through the patient’s device, Apple HealthKit permissions, wearable/device accuracy, patient usage patterns, and data completeness.
PxProfiler does not guarantee that summary reports are complete, error-free, clinically sufficient, or suitable for any particular diagnosis, treatment, or clinical decision.
Clinicians are responsible for determining whether additional information, assessment, testing, or clinical review is required.
Subject to these Terms, PxProfiler grants authorized users a limited, non-exclusive, non-transferable, revocable license to access and use PxProfiler for its intended purpose.
This license does not grant any ownership interest or broader rights in:
All rights not expressly granted are reserved.
All intellectual property rights in and to PxProfiler, including software, text, displays, images, reports, interfaces, designs, workflows, algorithms, scoring methods, documentation, features, and functionality, are owned by PxProfiler, INFN8 Solutions Inc., its licensors, or applicable rights holders.
You may not use PxProfiler intellectual property except as expressly permitted by these Terms.
Your use of PxProfiler is subject to the PxProfiler Privacy Policy, which describes how personal information and personal health information are collected, used, stored, protected, and disclosed.
By using PxProfiler, you acknowledge that you have reviewed the PxProfiler Privacy Policy.
PxProfiler may modify, update, suspend, or discontinue any part of the platform at any time.
PxProfiler may also update these Terms from time to time. If material changes are made, PxProfiler will provide notice by posting updated Terms or through other reasonable communications.
Your continued use of PxProfiler after updated Terms become effective constitutes acceptance of the updated Terms.
PxProfiler may rely on third-party services for hosting, authentication, analytics, security, infrastructure, and related platform operations.
Third-party services may be subject to their own terms, policies, and technical limitations.
PxProfiler is not responsible for third-party services outside its reasonable control.
PxProfiler is provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, PxProfiler disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, reliability, non-infringement, and uninterrupted or error-free operation.
PxProfiler does not warrant that the platform will meet all clinical, operational, regulatory, or technical requirements of any particular user, clinic, or patient.
To the fullest extent permitted by applicable law, PxProfiler, INFN8 Solutions Inc., its licensors, service providers, employees, contractors, officers, directors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, business opportunity, clinical opportunity, or anticipated savings.
To the fullest extent permitted by applicable law, PxProfiler’s total aggregate liability for any claim arising out of or relating to PxProfiler or these Terms will not exceed the amount paid to PxProfiler for the applicable service in the twelve months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations of liability, so some limitations may not apply.
You agree to defend, indemnify, and hold harmless PxProfiler, INFN8 Solutions Inc., its licensors, service providers, employees, contractors, officers, directors, and agents from and against claims, liabilities, damages, judgments, losses, costs, expenses, and fees, including reasonable legal fees, arising out of or relating to:
PxProfiler may suspend, restrict, or terminate access to PxProfiler immediately, with or without notice, if PxProfiler reasonably believes that:
Upon termination, your right to access and use PxProfiler will cease.
Termination does not limit any rights or remedies available to PxProfiler at law or in equity.
Sections that by their nature should survive termination will survive, including intellectual property, privacy, warranty disclaimers, limitation of liability, indemnification, governing law, and entire agreement.
These Terms are governed by the applicable laws of Canada and the Province of Ontario, without regard to conflict-of-law principles.
Nothing in these Terms limits the application of other Canadian privacy, health privacy, professional, or regulatory laws that may apply based on the user, clinician, patient, clinic, or clinical setting.
If PxProfiler enters into a separate written agreement with a clinic, healthcare organization, enterprise customer, or institutional client, that agreement may contain additional or different terms.
If there is a conflict between these Terms and a signed written agreement between PxProfiler and an organization, the signed written agreement will govern to the extent of the conflict.
These Terms, together with the PxProfiler Privacy Policy and any other legal notices or written agreements applicable to PxProfiler, constitute the entire agreement between you and PxProfiler regarding your use of the platform.
